If you want to start an IT business or expand your current one, you need a business plan. The guide below details the necessary information for how to write each essential component of your IT business plan.

Executive Summary

Your executive summary provides an introduction to your business plan, but it is normally the last section you write because it provides a summary of each key section of your plan.

The goal of your executive summary is to quickly engage the reader. Explain to them the kind of IT business you are running and the status. For example, are you a startup, do you have an IT business that you would like to grow, or are you operating a chain of IT businesses?

Next, provide an overview of each of the subsequent sections of your plan.

  • Give a brief overview of the IT industry.
  • Discuss the type of IT business you are operating.
  • Detail your direct competitors. Give an overview of your target customers.
  • Provide a snapshot of your marketing strategy. Identify the key members of your team.
  • Offer an overview of your financial plan.

Company Overview

In your company overview, you will detail the type of IT business you are operating.

For example, you might specialize in one of the following types of IT businesses:

  • Computer repair: This type of IT business provides computer maintenance and repair services.
  • Computer training: This type of IT professional specializes in teaching others how to use computers as well as various software and computer programs.
  • IT support: This type of IT professional provides services for businesses such as setting up a network, backing up data, and systems management.
  • Cloud computing: This type of IT specialist helps individuals and businesses establish cloud platforms and tools, or may help to migrate their information to the cloud.

In addition to explaining the type of IT business you will operate, the company overview needs to provide background on the business.

Include answers to questions such as:

  • When and why did you start the business?
  • What milestones have you achieved to date? Milestones could include the number of new clients served, the number of repeat clients, reaching $X amount in revenue, etc.
  • Your legal business Are you incorporated as an S-Corp? An LLC? A sole proprietorship? Explain your legal structure here.

Industry Analysis

In your industry or market analysis, you need to provide an overview of the IT industry.

While this may seem unnecessary, it serves multiple purposes.

First, researching the IT industry educates you. It helps you understand the market in which you are operating.

Secondly, market research can improve your marketing strategy, particularly if your analysis identifies market trends.

The third reason is to prove to readers that you are an expert in your industry. By conducting the research and presenting it in your plan, you achieve just that.

The following questions should be answered in the industry analysis section of your IT business plan:

  • How big is the IT industry (in dollars)?
  • Is the market declining or increasing?
  • Who are the key competitors in the market?
  • Who are the key suppliers in the market?
  • What trends are affecting the industry?
  • What is the industry’s growth forecast over the next 5 – 10 years?
  • What is the relevant market size? That is, how big is the potential target market for your IT business? You can extrapolate such a figure by assessing the size of the market in the entire country and then applying that figure to your local population.

Customer Analysis

The customer analysis section of your IT business plan must detail the customers you serve and/or expect to serve.

The following are examples of customer segments: individuals, schools, families, and corporations.

As you can imagine, the customer segment(s) you choose will have a great impact on the type of IT business you operate. Clearly, individuals would respond to different marketing promotions than corporations, for example.

Try to break out your target customers in terms of their demographic and psychographic profiles. With regards to demographics, including a discussion of the ages, genders, locations, and income levels of the potential customers you seek to serve.

Psychographic profiles explain the wants and needs of your target customers. The more you can recognize and define these needs, the better you will do in attracting and retaining your customers.

Competitive Analysis

Your competitive analysis should identify the indirect and direct competitors your business faces and then focus on the latter.

Direct competitors are other IT businesses.

Indirect competitors are other options that customers have to purchase from that aren’t directly competing with your product or service. This includes other types of IT consultants, in-house IT support, or do-it-yourself IT tutorials. You need to mention such competition as well.

For each such competitor, provide an overview of their business and document their strengths and weaknesses. Unless you once worked at your competitors’ businesses, it will be impossible to know everything about them. But you should be able to find out key things about them such as

  • What types of customers do they serve?
  • What type of IT business are they?
  • What is their pricing (premium, low, etc.)?
  • What are they good at?
  • What are their weaknesses?

With regards to the last two questions, think about your answers from the customers’ perspective. And don’t be afraid to ask your competitors’ customers what they like most and least about them.

The final part of your competitive analysis section is to document your areas of competitive advantage. For example:

  • Will you make it easier for clients to acquire your product or service?
  • Will you offer products or services that your competition doesn’t?
  • Will you provide better customer service?
  • Will you offer better pricing?

Think about ways you will outperform your competition and document them in this section of your plan.

Marketing Plan

Traditionally, a marketing plan includes the four P’s: Product, Price, Place, and Promotion. For an IT business plan, your marketing strategy should include the following:

Product : In the product section, you should reiterate the type of IT company that you documented in your company overview. Then, detail the specific products or services you will be offering. For example, will you provide cloud computing, data center management, or network setup services?

Price : Document the prices you will offer and how they compare to your competitors. Essentially in the product and price sub-sections of your plan, you are presenting the products and/or services you offer and their prices.

Place : Place refers to the site of your IT company. Document where your company is situated and mention how the site will impact your success. For example, is your IT business located in a busy retail district, a business district, a standalone office, or purely online? Discuss how your site might be the ideal location for your customers.

Promotions : The final part of your IT marketing plan is where you will document how you will drive potential customers to your location(s). The following are some promotional methods you might consider:

  • Advertise in local papers, radio stations and/or magazines
  • Reach out to websites
  • Distribute flyers
  • Engage in email marketing
  • Advertise on social media platforms
  • Improve the SEO (search engine optimization) on your website for targeted keywords

Operations Plan

While the earlier sections of your business plan explained your goals, your operations plan describes how you will meet them. Your operations plan should have two distinct sections as follows.

Everyday short-term processes include all of the tasks involved in running your IT business, including answering calls, meeting with new clients, billing and collecting payments from clients, etc.

Long-term goals are the milestones you hope to achieve. These could include the dates when you expect to acquire your Xth client, or when you hope to reach $X in revenue. It could also be when you expect to expand your IT business to a new city.

Management Team

To demonstrate your IT business’ potential to succeed, a strong management team is essential. Highlight your key players’ backgrounds, emphasizing those skills and experiences that prove their ability to grow a company.

Ideally, you and/or your team members have direct experience in managing IT businesses. If so, highlight this experience and expertise. But also highlight any experience that you think will help your business succeed.

If your team is lacking, consider assembling an advisory board. An advisory board would include 2 to 8 individuals who would act as mentors to your business. They would help answer questions and provide strategic guidance. If needed, look for advisory board members with experience in managing an IT business or successfully running a small IT consulting service.

Financial Plan

Your financial plan should include your 5-year financial statement broken out both monthly or quarterly for the first year and then annually. Your financial statements include your income statement, balance sheet, and cash flow statements.

Income Statement

An income statement is more commonly called a Profit and Loss statement or P&L. It shows your revenue and then subtracts your costs to show whether you turned a profit or not.

In developing your income statement, you need to devise assumptions. For example, will you charge your clients an hourly rate of $250 per hour, and will you work 5 hours per day? And will sales grow by 2% or 10% per year? As you can imagine, your choice of assumptions will greatly impact the financial forecasts for your business. As much as possible, conduct research to try to root your assumptions in reality.

Balance Sheets

Balance sheets show your assets and liabilities. While balance sheets can include much information, try to simplify them to the key items you need to know about. For instance, if you spend $50,000 on building out your IT business, this will not give you immediate profits. Rather it is an asset that will hopefully help you generate profits for years to come. Likewise, if a lender writes you a check for $50,000, you don’t need to pay it back immediately. Rather, that is a liability you will pay back over time.

Cash Flow Statement

Your cash flow statement will help determine how much money you need to start or grow your business, and ensure you never run out of money. What most entrepreneurs and business owners don’t realize is that you can turn a profit but run out of money and go bankrupt.

When creating your Income Statement and Balance Sheets be sure to include several of the key costs needed in starting or growing an IT business:

  • Cost of equipment and office supplies
  • Payroll or salaries paid to staff
  • Business insurance
  • Other start-up expenses (if you’re a new business) like legal expenses, permits, computer software, and equipment

Attach your full financial projections in the appendix of your plan along with any supporting documents that make your plan more compelling. For example, you might include your office location lease or a list of your IT credentials.

Writing a business plan for your IT business is a worthwhile endeavor. If you follow the template above, by the time you are done, you will truly be an expert on IT business planning. You will understand the IT industry, your competition, and your customers. You will develop a marketing strategy and will understand what it takes to launch and grow a successful IT business.

Clive Keyte, managing director of strategy at mapping consultancy Intrafocus, shared his expertise on developing strategic plans . "The mistake that is often made in strategic planning is to jump straight to initiatives or projects without considering business impact carefully," Keyte said. He offers the following five things to do to embed strategy into your culture:

  • Include subject matter experts in strategy formulation.
  • Solicit strategy ideas from staff through social media.
  • Communicate your strategy through a simple diagram.
  • Include your strategic measures in monthly reports.
  • Publish your strategic wins frequently.

  • Percent of IT spend on cloud
  • Product lead time
  • Business value delivered by portfolio per quarter

  • Percent of project spend on customer-centric initiatives
  • IT spend by business unit
  • Customer satisfaction scores for business-facing services
  • Percent of IT investment by business initiative

Three IT strategic plan examples

IT strategic plans for higher education institutions and government agencies are readily found on the web. Here are three examples.

SOURCE #6 : Harvard University EXAMPLE: IT strategic plan

This IT strategic planning document takes pains to align IT initiatives with the broader business and academic priorities of the institution.

Harvard University's IT strategic plan updates the university's previous plan and sets forth eight new initiatives established by Harvard's CIO Council. To ensure that the IT initiatives reflected university-wide priorities, the report states that a working group interviewed sources across Harvard, including deans and vice provosts. "The collective input became the foundation on which we built the plan," the report asserts.

The current plan also includes an IT mission statement and lists the IT organization's ongoing priorities: information security; enterprise architecture ; shared service model; research computing and research data compliance; IT workforce development; IT procurement and vendor management; change management ; and sustainability and green IT. The new IT strategic plan document also includes an IT vision statement. (It is downloadable as a PDF.)

SOURCE #7: University of South Florida System EXAMPLE: Information Technology Strategic Plan 2019 - 2023

The University of South Florida (USF) Information Technology Plan includes an executive summary, mission statement, vision statement, list of current services, guiding principles and strategic goals. The executive summary notes that the Office of Campus Computing typically has a much faster planning cycle than other disciplines due to rapid technological changes. It also states that the system's information technology requests "continue to grow at unprecedented rates, and place significant stress on existing Campus Computing infrastructure." The plan lays out estimated costs per year to meet Campus Computing's strategic goals. (It is downloadable as a PDF .)

SOURCE #8: Department of Homeland Security EXAMPLE: DHS Information Technology Strategic Plan 2019-2023

As the introduction notes, the IT department of the Department of Homeland Security plays a powerful role in supporting the agency's mission to keep the country safe and secure. The eight-page plan includes a mission statement, vision statement and seven guiding principles. The plan is built around four goals: culture, connectivity, cybersecurity and customers. Each goal is broken down into a list of objectives and their focus areas.

Any IT project or business plan will obviously change based on project scope and the needs of the organization creating it. But in general, we find that many members of our audience are searching for the right way to write an IT business plan.

So we’ve interviewed some IT professionals to create this guide to writing IT business plans. We hope you’ll take something away from their wisdom.

The smarter way to define business needs

This, of all steps, is probably the most obvious: before writing an IT department business plan or project plan, you need to define your org’s needs. But this isn’t so straightforward, and it may even be the step which takes the most time.

More IT leaders are engaging with marketing leaders because new digitalization initiatives center around how companies market themselves more than anything else.

Jeff Day, North of 10 Advisors , suggests the smartest way to go about defining your business needs is to get involved with your company or organization’s marketing leaders.

“Marketing has exponentially more budget than IT departments do. IT is an operational line item in CIO budget, while marketing is a revenue generation line item in the CEO’s budget. You can learn a lot about where your business is going from the marketing department.”

Another important part of this step is to define what “technical debt” means to you.

“There’s often a gap between tech users’ expectations and what a technological investment actually does,” explains Brad Sousa, Chief Technology Officer, AVI Systems .

“This is called ‘technical debt,’ and if you accumulate enough, it impacts the ability to adopt projects in the future. Understanding what the tech debt may or may not be and being intentional about closing that debt is critical.”

Understanding it completely revolves around understanding the users’ expected experience . IT leaders tend to think about it in terms of specifications/requirements, making selections based on those. But that often doesn’t satisfy user expectation.

Many projects derail because the project plan does not take into consideration the roles and dependencies of other groups/departments, says Jeffrey Fleischman, Chief Marketing Officer at Altimetrik .

“Every team that works with IT must be included upfront in the development of a plan. This includes sales, product, finance, marketing, compliance, privacy, legal, etc. For example, a project can come to a halt by legal if regulatory or privacy needs are not addressed. Inclusion will lead to a faster and smoother implementation.”

What every IT business continuity or project plan should include

Regardless of department, any continuity or project plan should outline key contacts and core activities that must be maintained.

Think of the business continuity plan like a minimally viable product (MVP): what are the key functions and contacts that need to be activated?

The importance of communication before, during, and after an incident can’t be overstated in an IT continuity plan, says Jason Lin, CFO of Centage .

“Strategies should include detailed communication methods by which different resources can be linked, and with the re-shaping of workplace environments caused by COVID-19, these methods should be carefully reviewed.”

Outside of key functions, the “nice to have” options should be deprioritized to ensure that the lights are on and core functions are not disrupted.

Here’s what every IT business plan should include:

Data Recovery

“I can’t tell you how many companies still use physical prem-based solutions,” Day says. “Internet didn’t go down during COVID. You need to have a back-up.”

Team Collaboration

Perhaps the most important investment you could make, especially in a new, post-pandemic era which stressed the importance of smooth team communication.

CRM & Data Analytics

To ensure your systems are working smoothly over time and to collect actionable data on how to improve operations.

Business Accelerators

What’s the outcome, acceleration, adoption needs, etc.?

Emergency response procedures

“These procedures are vital in ensuring the plan creates a systematic and timely path towards resolution,” says Lin.

Disruption minimization initiatives

How to minimize disruption versus adding velocity to other infrastructure.

Some kind of adoption track

Consensus among stakeholders – maybe they sign off on each individual section? – and a thoughtful plan for implementation and training.

The future isn’t just a tech concern, it’s a generational one

What is a business plan if not a strategic vision for how to handle the future? In IT departments, that strategy almost always revolves around technology, but it should revolve even more around people.

For instance, there are major differences in generations regarding the validation of work and how different age groups solve problems.

There’s a growing body of evidence that says Gen Z and Millennials can be highly productive at home, but the value of work diminishes over time as they are more isolated from home. That could lead to a retention problem, Sousa says.

“When I, a baby boomer, was in grade school, the economic problem at the time was scaling industry. So solving a problem meant defining a problem, defining solutions, proving it is the best solution based on the facts. But younger folks are now taught community work is more valuable than individual work.

“They’ll bring their solution back based not only on facts, but on how many people agree with them.”

“We used to be concerned about bringing the office to the home; now we’re focused on bringing the home to the office. Creating spaces where we can restore a sense of community in the workplace. If we’re successful, it’ll help us restore the connection to community and the purpose of the work.”

This, he says, should be a driving factor for how to design any tech consideration.

A business plan is a document that helps potential new business owners flesh out their business idea and put together a bird’s eye view of their business. Writing a business plan is an essential step in any startup’s ideation process.

Business plans help determine demographics, market analysis, competitive analysis, financial projections, new products or services, and so much more.

Each of these bits of information are important to have on hand when you’re trying to start a business or pitching investors for funds.

A business plan is important for a number of reasons, but mostly because it helps to set you up for success right from the start.

By laying out each of the steps you need to take in order to build a successful business, you’re able to be more reasonable about what your timeline is for achieving everything as well as what your financial projections are.

Having a business plan helps you be more organized and strategic, improving the overall performance of your business as you start out. In fact, one study found that businesses with a plan grow 30% faster than businesses that don’t.

The executive summary is a brief overview of your entire business plan, giving anyone who reads through your document a quick understanding of what they’re going to learn about your business idea.

However, you need to remember that some of the people who are going to read your business plan don’t want to or have time to read the entire thing. So your executive summary needs to incorporate all of the most important aspects of your plan.

Here’s an example of an executive summary from a business plan template you can customize and turn into your own.

Your executive summary should include:

  • Key objective(s)
  • Market research
  • Competitor information
  • Products/services
  • Value proposition
  • Overview of your financial plan
  • How you’re going to actually start your business

One thing to note is that you should actually write your executive summary after the rest of your business plan so that you can properly summarize everything you’ve already created.

So at this point, simply leave a page blank for your executive summary so you can come back to it at the end of your business plan.

The next step is to write out a full description of your business and its core offerings. This section of your business plan should include your mission statement and objectives, along with your company history or overview.

In this section, you may also briefly describe your business formation details from a legal perspective.

Mission Statement

Don’t spend too much time trying to craft this. Your mission statement is a simple “why” you started this business. What are you trying to achieve? Or what does your business solve?

This can be anything from one single quote or a paragraph, but it doesn’t need to be much longer than that. In fact, this could be very similar to your value proposition.

What are your goals? What do you plan to achieve in the first 90 days or one year of your business? What kind of impact do you hope to make on the market?

These are all good points to include in your objectives section so anyone reading your business plan knows upfront what you hope to achieve.

History or Overview

If you’re not launching a brand new business or if you’ve previously worked on another iteration of this business, let potential investors know the history of your company.

If not, simply provide an overview of your business, sharing what it does or what it will do.

Your third step is to conduct a market analysis so you know how your business will fit into its target market. This page in your business plan is simply meant to summarize your findings. Most of your time should be spent actually doing the research.

Your market analysis needs to look at things like:

  • Market size, and if it’s grown in recent years or shrinking
  • The segment of the market you plan to target
  • Demographics and behavior of your target audience
  • The demand for your product or service
  • Your competitive advantage or differentiation strategy
  • The average price of your product or service

Put together a summary of your market analysis and industry research in a 1-2 page format, like we see below.

Your next step is to conduct a competitive analysis. While you likely touched on this briefly during your market analysis, now is the time to do a deep dive so that you have a good grasp on what your competitors are doing and how they are generating customers.

Start by creating a profile of all your existing competitors, or at the very least, your closest competitors – the ones who are offering very similar products or services to you, or are in a similar vicinity (if you’re opening a brick and mortar store).

Focus on their strengths and what they’re doing really well so that you can emulate their best qualities in your own way. Then, look at their weaknesses and what your business can do better.

Take note of their current marketing strategy, including the outlets you see a presence, whether it’s on social media, you hear a radio ad, you see a TV ad, etc. You won’t always find all of their marketing channels, but see what you can find online and on their website.

After this, take a minute to identify potential competitors based on markets you might try out in the future, products or services you plan to add to your offerings, and more.

Then put together a page or two in your business plan that highlights your competitive advantage and how you’ll be successful breaking into the market.

Step five is to dedicate a page to the products or services that your business plans to offer.

Put together a quick list and explanation of what each of the initial product or service offerings will be, but steer clear of industry jargon or buzzwords. This should be written in plain language so anyone reading has a full understanding of what your business will do.

You can have a simple list like we see in the sample page above, or you can dive a little deeper. Depending on your type of business, it might be a good idea to provide additional information about what each product or service entails.

The next step is to work on the financial data of your new business. What will your overhead be? How will your business make money? What are your estimated expenses and profits over the first few months to a year? The expenses should cover all the spending whether they are recurring costs or just one-time LLC filing fees .

There is so much that goes into your financial plan for a new business, so this is going to take some time to compile. Especially because this section of your business plan helps potential cofounders or investors understand if the idea is even viable.

Your financial plan should include at least five major sections:

  • Sales Forecast: The first thing you want to include is a forecast or financial projection of how much you think your business can sell over the next year or so. Break this down into the different products, services or facets of your business.
  • Balance Sheet: This section is essentially a statement of your company’s financial position. It includes existing assets, liabilities and equity to demonstrate the company’s overall financial health.
  • Income Statement: Also known as a profit and loss statement (P&L), this covers your projected expenses and revenue, showcasing whether your business will be profitable or not.
  • Operating Budget: A detailed outline of your business’s income and expenses. This should showcase that your business is bringing in more than it’s spending.
  • Cash Flow Statements: This tracks how much cash your business has at any given point, regardless of whether customers or clients have paid their bills or have 30-60+ days to do so.

While these are the most common financial statements, you may discover that there are other sections that you want to include or that lenders may want to see from you.

The next step is coming up with a successful marketing plan so that you can actually get the word out about your business. 

Throughout your business plan, you’ve already researched your competitors and your target market, both of which are major components of a good marketing strategy. You need to know who you’re marketing to, and you want to do it better than your competition.

On this page or throughout this section of your business plan, you need to focus on your chosen marketing channels and the types of marketing content you plan to create.

Start by taking a look at the channels that your competitors are on and make sure you have a good understanding of the demographics of each channel as well. You don’t want to waste time on a marketing channel that your target audience doesn’t use.

Then, create a list of each of your planned marketing avenues. It might look something like:

  • Social media ( Facebook, Instagram, Pinterest)
  • Email newsletter
  • Digital ads

Depending on the type of business you’re starting, this list could change quite a bit — and that’s okay. There is no one-size-fits-all marketing strategy, and you need to find the one that brings in the highest number of potential customers.

Your last section will be all about your leadership and management team members. Showcasing that you have a solid team right from the start can make potential investors feel better about funding your venture.

Executive summary

The executive summary is an overview of your business and your plans. It comes first in your plan and is ideally just one to two pages. Most people write it last because it’s a summary of the complete business plan.

Ideally, the executive summary can act as a stand-alone document that covers the highlights of your detailed plan. 

In fact, it’s common for investors to ask only for the executive summary when evaluating your business. If they like what they see in the executive summary, they’ll often follow up with a request for a complete plan, a pitch presentation , or more in-depth financial forecasts .

Your executive summary should include:

  • A summary of the problem you are solving
  • A description of your product or service
  • An overview of your target market
  • A brief description of your team
  • A summary of your financials
  • Your funding requirements (if you are raising money)

Products and services description

When writing a business plan, the produces and services section is where you describe exactly what you’re selling, and how it solves a problem for your target market. The best way to organize this part of your plan is to start by describing the problem that exists for your customers. After that, you can describe how you plan to solve that problem with your product or service. 

This is usually called a problem and solution statement .

To truly showcase the value of your products and services, you need to craft a compelling narrative around your offerings. How will your product or service transform your customers’ lives or jobs? A strong narrative will draw in your readers.

This is also the part of the business plan to discuss any competitive advantages you may have, like specific intellectual property or patents that protect your product. If you have any initial sales, contracts, or other evidence that your product or service is likely to sell, include that information as well. It will show that your idea has traction , which can help convince readers that your plan has a high chance of success.

Market analysis

Your target market is a description of the type of people that you plan to sell to. You might even have multiple target markets, depending on your business. 

A market analysis is the part of your plan where you bring together all of the information you know about your target market. Basically, it’s a thorough description of who your customers are and why they need what you’re selling. You’ll also include information about the growth of your market and your industry .

Try to be as specific as possible when you describe your market. 

Include information such as age, income level, and location—these are what’s called “demographics.” If you can, also describe your market’s interests and habits as they relate to your business—these are “psychographics.”

Essentially, you want to include any knowledge you have about your customers that is relevant to how your product or service is right for them. With a solid target market, it will be easier to create a sales and marketing plan that will reach your customers. That’s because you know who they are, what they like to do, and the best ways to reach them.

Next, provide any additional information you have about your market. 

What is the size of your market ? Is the market growing or shrinking? Ideally, you’ll want to demonstrate that your market is growing over time, and also explain how your business is positioned to take advantage of any expected changes in your industry.

Competitive analysis

Part of defining your business opportunity is determining what your competitive advantage is. To do this effectively, you need to know as much about your competitors as your target customers. 

Every business has some form of competition. If you don’t think you have competitors, then explore what alternatives there are in the market for your product or service. 

For example: In the early years of cars, their main competition was horses. For social media, the early competition was reading books, watching TV, and talking on the phone.

A good competitive analysis fully lays out the competitive landscape and then explains how your business is different. Maybe your products are better made, or cheaper, or your customer service is superior. Maybe your competitive advantage is your location – a wide variety of factors can ultimately give you an advantage.

Marketing and sales plan

The marketing and sales plan covers how you will position your product or service in the market, the marketing channels and messaging you will use, and your sales tactics. 

The best place to start with a marketing plan is with a positioning statement . 

This explains how your business fits into the overall market, and how you will explain the advantages of your product or service to customers. You’ll use the information from your competitive analysis to help you with your positioning. 

For example: You might position your company as the premium, most expensive but the highest quality option in the market. Or your positioning might focus on being locally owned and that shoppers support the local economy by buying your products.

Once you understand your positioning, you’ll bring this together with the information about your target market to create your marketing strategy . 

This is how you plan to communicate your message to potential customers. Depending on who your customers are and how they purchase products like yours, you might use many different strategies, from social media advertising to creating a podcast. Your marketing plan is all about how your customers discover who you are and why they should consider your products and services. 

While your marketing plan is about reaching your customers—your sales plan will describe the actual sales process once a customer has decided that they’re interested in what you have to offer. 

If your business requires salespeople and a long sales process, describe that in this section. If your customers can “self-serve” and just make purchases quickly on your website, describe that process. 

A good sales plan picks up where your marketing plan leaves off. The marketing plan brings customers in the door and the sales plan is how you close the deal.

Together, these specific plans paint a picture of how you will connect with your target audience, and how you will turn them into paying customers.

When writing a business plan, the operations section describes the necessary requirements for your business to run smoothly. It’s where you talk about how your business works and what day-to-day operations look like. 

Depending on how your business is structured, your operations plan may include elements of the business like:

  • Supply chain management
  • Manufacturing processes
  • Equipment and technology
  • Distribution

Some businesses distribute their products and reach their customers through large retailers like Amazon.com, Walmart, Target, and grocery store chains. 

These businesses should review how this part of their business works. The plan should discuss the logistics and costs of getting products onto store shelves and any potential hurdles the business may have to overcome.

If your business is much simpler than this, that’s OK. This section of your business plan can be either extremely short or more detailed, depending on the type of business you are building.

For businesses selling services, such as physical therapy or online software, you can use this section to describe the technology you’ll leverage, what goes into your service, and who you will partner with to deliver your services.

Key milestones and metrics

Although it’s not required to complete your business plan, mapping out key business milestones and the metrics can be incredibly useful for measuring your success.

Good milestones clearly lay out the parameters of the task and set expectations for their execution. You’ll want to include:

  • A description of each task
  • The proposed due date
  • Who is responsible for each task

If you have a budget, you can include projected costs to hit each milestone. You don’t need extensive project planning in this section—just list key milestones you want to hit and when you plan to hit them. This is your overall business roadmap. 

Possible milestones might be:

  • Website launch date
  • Store or office opening date
  • First significant sales
  • Break even date
  • Business licenses and approvals

You should also discuss the key numbers you will track to determine your success. Some common metrics worth tracking include:

  • Conversion rates
  • Customer acquisition costs
  • Profit per customer
  • Repeat purchases

It’s perfectly fine to start with just a few metrics and grow the number you are tracking over time. You also may find that some metrics simply aren’t relevant to your business and can narrow down what you’re tracking.

Organization and management team

Investors don’t just look for great ideas—they want to find great teams. Use this chapter to describe your current team and who you need to hire . You should also provide a quick overview of your location and history if you’re already up and running.

Briefly highlight the relevant experiences of each key team member in the company. It’s important to make the case for why yours is the right team to turn an idea into a reality. 

Do they have the right industry experience and background? Have members of the team had entrepreneurial successes before? 

If you still need to hire key team members, that’s OK. Just note those gaps in this section.

Your company overview should also include a summary of your company’s current business structure . The most common business structures include:

  • Sole proprietor
  • Partnership

Be sure to provide an overview of how the business is owned as well. Does each business partner own an equal portion of the business? How is ownership divided? 

Potential lenders and investors will want to know the structure of the business before they will consider a loan or investment.

Financial plan

The last section of your business plan is your financial plan and forecasts. 

Entrepreneurs often find this section the most daunting. But, business financials for most startups are less complicated than you think, and a business degree is certainly not required to build a solid financial forecast. 

A typical financial forecast in a business plan includes the following:

  • Sales forecast : An estimate of the sales expected over a given period. You’ll break down your forecast into the key revenue streams that you expect to have.
  • Expense budget : Your planned spending such as personnel costs , marketing expenses, and taxes.
  • Profit & Loss : Brings together your sales and expenses and helps you calculate planned profits.
  • Cash Flow : Shows how cash moves into and out of your business. It can predict how much cash you’ll have on hand at any given point in the future.
  • Balance Sheet : A list of the assets, liabilities, and equity in your company. In short, it provides an overview of the financial health of your business.

Adding a business plan cover page can make your plan, and by extension your business, seem more professional in the eyes of potential investors, lenders, and partners. It serves as the introduction to your document and provides necessary contact information for stakeholders to reference.

Your cover page should be simple and include:

  • Company logo
  • Business name
  • Value proposition (optional)
  • Business plan title
  • Completion and/or update date
  • Address and contact information
  • Confidentiality statement

Contents of a Business Plan

A business plan should be structured in a way that it contains all the important information that investors are looking for. Here are the main sections of a business plan:

1. Title Page

The title page captures the legal information of the business, which includes the registered business name, physical address, phone number, email address, date, and the company logo.

2. Executive Summary

The executive summary is the most important section because it is the first section that investors and bankers see when they open the business plan. It provides a summary of the entire business plan. It should be written last to ensure that you don’t leave any details out. It must be short and to the point, and it should capture the reader’s attention. The executive summary should not exceed two pages.

3. Industry Overview

The industry overview section provides information about the specific industry that the business operates in. Some of the information provided in this section includes major competitors, industry trends, and estimated revenues. It also shows the company’s position in the industry and how it will compete in the market against other major players.

4. Market Analysis and Competition

The market analysis section details the target market for the company’s product offerings. This section confirms that the company understands the market and that it has already analyzed the existing market to determine that there is adequate demand to support its proposed business model.

Market analysis includes information about the target market’s demographics , geographical location, consumer behavior, and market needs. The company can present numbers and sources to give an overview of the target market size.

A business can choose to consolidate the market analysis and competition analysis into one section or present them as two separate sections.

5. Sales and Marketing Plan

The sales and marketing plan details how the company plans to sell its products to the target market. It attempts to present the business’s unique selling proposition and the channels it will use to sell its goods and services. It details the company’s advertising and promotion activities, pricing strategy, sales and distribution methods, and after-sales support.

6. Management Plan

The management plan provides an outline of the company’s legal structure, its management team, and internal and external human resource requirements. It should list the number of employees that will be needed and the remuneration to be paid to each of the employees.

Any external professionals, such as lawyers, valuers, architects, and consultants, that the company will need should also be included. If the company intends to use the business plan to source funding from investors, it should list the members of the executive team, as well as the members of the advisory board.

7. Operating Plan

The operating plan provides an overview of the company’s physical requirements, such as office space, machinery, labor, supplies, and inventory . For a business that requires custom warehouses and specialized equipment, the operating plan will be more detailed, as compared to, say, a home-based consulting business. If the business plan is for a manufacturing company, it will include information on raw material requirements and the supply chain.

8. Financial Plan

The financial plan is an important section that will often determine whether the business will obtain required financing from financial institutions, investors, or venture capitalists. It should demonstrate that the proposed business is viable and will return enough revenues to be able to meet its financial obligations. Some of the information contained in the financial plan includes a projected income statement , balance sheet, and cash flow.

9. Appendices and Exhibits

The appendices and exhibits part is the last section of a business plan. It includes any additional information that banks and investors may be interested in or that adds credibility to the business. Some of the information that may be included in the appendices section includes office/building plans, detailed market research , products/services offering information, marketing brochures, and credit histories of the promoters.

  • Give a summary of the operational plan, such as inventory, office and labor, and equipment requirements.

  • Describe the company’s position in the industry.
  • Describe the existing competition and the major players in the industry.
  • Provide information about the industry that the business will operate in, estimated revenues, industry trends, government influences, as well as the demographics of the target market.

Section 3: Market Analysis and Competition

  • Define your target market, their needs, and their geographical location.
  • Describe the size of the market, the units of the company’s products that potential customers may buy, and the market changes that may occur due to overall economic changes.
  • Give an overview of the estimated sales volume vis-à-vis what competitors sell.
  • Give a plan on how the company plans to combat the existing competition to gain and retain market share.

Section 4: Sales and Marketing Plan

  • Describe the products that the company will offer for sale and its unique selling proposition.
  • List the different advertising platforms that the business will use to get its message to customers.
  • Describe how the business plans to price its products in a way that allows it to make a profit.
  • Give details on how the company’s products will be distributed to the target market and the shipping method.

Section 5: Management Plan

  • Describe the organizational structure of the company.
  • List the owners of the company and their ownership percentages.
  • List the key executives, their roles, and remuneration.
  • List any internal and external professionals that the company plans to hire, and how they will be compensated.
  • Include a list of the members of the advisory board, if available.

Section 6: Operating Plan

  • Describe the location of the business, including office and warehouse requirements.
  • Describe the labor requirement of the company. Outline the number of staff that the company needs, their roles, skills training needed, and employee tenures (full-time or part-time).
  • Describe the manufacturing process, and the time it will take to produce one unit of a product.
  • Describe the equipment and machinery requirements, and if the company will lease or purchase equipment and machinery, and the related costs that the company estimates it will incur.
  • Provide a list of raw material requirements, how they will be sourced, and the main suppliers that will supply the required inputs.

Section 7: Financial Plan

  • Describe the financial projections of the company, by including the projected income statement, projected cash flow statement, and the balance sheet projection.

Section 8: Appendices and Exhibits

  • Quotes of building and machinery leases
  • Proposed office and warehouse plan
  • Market research and a summary of the target market
  • Credit information of the owners
  • List of product and/or services

There are two different software options from iPlanner: Strategy Designer and Startup Framework. The Strategy Designer costs $59 for three plans, but it’s a one-time fee for the year. Choose it if you want a more condensed and no-frills kind of business plan. You can export it to Word or as a PDF.

The iPlanner Startup Framework is $55 per year, which gives you one plan to create. It’s similar to the Designer version, but you can create a business model, separate financials and build a team with various roles (view only, project owner or consultant).

Even a small business can be organized into separate departments, each one being assigned its own goals, such as revenue targets or units to be produced, and having its own expense budget. Each manager writes a department business plan, usually with guidance from the small-business owner and the finance staff. Review Last Year's Finances

Compare actual results to what had been in the forecast. Determine the reasons for significant variances. Analyze whether negative variances were due to one-time events or are likely to recur in the upcoming year and should be taken into account in the forecast.

Departmental business plans are essential for all department managers, as they help to guide the growth of the company. However, many managers, even established ones, have trouble nailing down the specifics of a departmental business plan. From reviewing the plan with your team to running it by company higher-ups to proper formatting, there is a lot that can be murky when it comes to creating this sort of document.

Departmental Business Plan Basics

A departmental business plan is a planning document focused on a specific department within a company. It should discuss your past metrics and discover any pain points that your team experienced. After you've focused on these problems, the document should focus on how you will address those problems going forward. If you feel like you need more staff, for example, you should work on how to justify that need to upper management.

Your departmental business plan should finish on a high note; specifically, you should focus on goals and what your team will do to meet them. Ideally, this plan would deal with how you will develop and groom your direct reports. In short, your departmental business plan is both a reflection and a game plan.

Late Night Business Safety Plan Program

Montgomery County is committed to establishing a uniform process for those businesses in areas experiencing higher than normal call volumes in the late-night hours. The business safety plan summarizes the establishment’s efforts to safely conduct operations for patrons and employee(s) consistent with County Executive Regulation 004-24. Consistent with this Regulation, the Montgomery County Department of Police (MCPD) has launched a Late-Night Business Safety Plan application portal.

Am I required ?

Beginning September 13, 2024, businesses required to submit a safety plan are those that have an “other tobacco products retailer” license, food license, license for on-site cannabis consumption, or liquor license where the products sold are consumed on-site at tables or other areas designated for consumption by the business, and that:

  • Are open to patrons from 2:00am – 5:00am; or,
  • Are open to patrons from 12:00am – 5:00am and have had two serious incidents within the previous 12 months. See the FAQs for the definition of a serious incident.

Applicable businesses will receive training at the business location from a MCPD officer within 30 days of the application submission. Upon submission of the application, the district station will be notified and an officer will contact the applicant to arrange the training. Training must be completed before the Safety Plan can be considered for approval.

A business-specific written document summarizing the establishment’s efforts to safely conduct operations for patrons and employee(s) consistent with guidelines and training described in Montgomery County Executive Regulation 004-24.

According to Montgomery County Executive Regulation 004-24, Serious Incidents are defined as:

  • Distribution of narcotics or other controlled dangerous substances;
  • A sexual offense in the third or fourth degree under § 3-307 or § 3-308 of the Criminal Law Article of the Maryland Code; or
  • A crime of violence as defined in § 14-101 of the Criminal Law Article, including:
  • kidnapping;
  • manslaughter, except involuntary manslaughter;
  • human trafficking;
  • sexual offense of any degree;
  • use of a handgun in the commission of a felony or other crime of violence;
  • an attempt to commit any of the crimes described in the preceding bullets of this list;
  • assault in the first degree;
  • assault against a law enforcement officer or emergency medical services provider in any degree; and, assault with intent of any type in any degree.

The Safety Plan Review Panel will receive and conduct a preliminary review of the late-night business safety plan within 30 (thirty) days of receipt of each safety plan.

  • Businesses may appeal the disapproval of a safety plan or the requirement to produce a safety plan under the serious incident inclusion provision before the Montgomery County Board of Appeals.
  • Appeals must be filed within 30 days of receipt of the decision disapproving a plan or notification of the requirement to produce a plan.

Funding availability is subject to appropriation by the Montgomery County Council.

WASHINGTON – Today the U.S. Department of the Treasury (Treasury) and Internal Revenue Service (IRS) issued a Notice of Proposed Rulemaking (NPRM) to increase tax fairness and address significant corporate tax avoidance by some of the largest and most profitable U.S. corporations by implementing the Inflation Reduction Act’s Corporate Alternative Minimum Tax (CAMT). CAMT is a key plank of President Biden and Vice President Harris’s agenda to make the biggest corporations and wealthiest pay their fair share, while cutting taxes for working Americans and middle-class families and supporting small businesses and entrepreneurs.

Treasury estimates that around 100 of the largest and most profitable companies will pay the CAMT annually. These corporations would have otherwise paid an average effective federal tax rate of 2.6%. An estimated 60% of CAMT payers would otherwise have paid an effective tax rate of less than 1%, including 25% of payers that would have paid an effective tax rate of zero.

That’s because some of the largest and most profitable corporations in the country use tax preferences and aggressive planning strategies to pay little to no taxes. These corporations report record profits to shareholders while often paying lower tax rates than nurses, firefighters, police officers, and teachers. Their ability to use complex strategies to avoid tax also gives them an unfair competitive advantage over small businesses, which don’t have access to the same tax planning techniques and high-paid lawyers and accountants. The CAMT helps level the playing field for small businesses by imposing a minimum tax on the profits that the largest corporations report to their shareholders.

Treasury’s NPRM would implement the statutory requirement that the biggest corporations pay a minimum 15% tax on profits reported to shareholders, with certain adjustments, to increase tax fairness and generate an estimated $250 billion over the next 10 years (2025-2034), including $20 billion in 2025.

The CAMT only applies to large corporations that average more than $1 billion in profit per year, not $1 billion in sales. In addition, if these corporations pay regular taxes that equal or exceed 15% of their adjusted profits, they would pay no additional tax. CAMT is designed as a backstop to ensure there are not years where the most profitable corporations in the world are paying minimal taxes.

“The proposed rules released by Treasury today are an important step toward realizing Congress’ efforts to address the most egregious U.S. corporate tax avoidance and ensure the largest and most profitable corporations in the country cannot pay little to no taxes,” said U.S. Secretary of the Treasury Janet L. Yellen.  “The Corporate Alternative Minimum Tax will also help level the playing field for small businesses while generating hundreds of billions of dollars in revenue.”  

Crafting the rules to implement this tax has been one of the most significant projects the Treasury Department has undertaken in decades. Congress delegated a significant amount of authority to Treasury to implement the CAMT, and Treasury and the IRS are implementing the law via these proposed regulations consistent with Congress’s statutory direction and intent.

In particular, as part of the legislative process, Congress chose to retain only a small number of regular tax preferences for the purpose of the minimum tax. The proposed rules follow suit and generally do not create adjustments to the tax base other than those directed by Congress. Consistent with the four notices Treasury previously issued to give taxpayers early clarity, the NPRM addresses limited and targeted cases where adjustments are clearly needed to accomplish congressional intent. For example, it addresses situations involving bankrupt and other troubled companies so that these companies can emerge from bankruptcy and continue to operate and employ their workers.

Today’s guidance is a proposed rule. All stakeholders will have the opportunity to comment on the proposed regulations by December 12, 2024 and may request to speak at the public hearing on the proposed regulations scheduled for January 16, 2025. Treasury and the IRS will carefully consider all comments that we receive on the proposed regulations and make changes based on those comments as appropriate.

MoSCoW Prioritization

What is moscow prioritization.

MoSCoW prioritization, also known as the MoSCoW method or MoSCoW analysis, is a popular prioritization technique for managing requirements. 

  The acronym MoSCoW represents four categories of initiatives: must-have, should-have, could-have, and won’t-have, or will not have right now. Some companies also use the “W” in MoSCoW to mean “wish.”

What is the History of the MoSCoW Method?

Software development expert Dai Clegg created the MoSCoW method while working at Oracle. He designed the framework to help his team prioritize tasks during development work on product releases.

You can find a detailed account of using MoSCoW prioritization in the Dynamic System Development Method (DSDM) handbook . But because MoSCoW can prioritize tasks within any time-boxed project, teams have adapted the method for a broad range of uses.

How Does MoSCoW Prioritization Work?

Before running a MoSCoW analysis, a few things need to happen. First, key stakeholders and the product team need to get aligned on objectives and prioritization factors. Then, all participants must agree on which initiatives to prioritize.

At this point, your team should also discuss how they will settle any disagreements in prioritization. If you can establish how to resolve disputes before they come up, you can help prevent those disagreements from holding up progress.

Finally, you’ll also want to reach a consensus on what percentage of resources you’d like to allocate to each category.

With the groundwork complete, you may begin determining which category is most appropriate for each initiative. But, first, let’s further break down each category in the MoSCoW method.

Start prioritizing your roadmap

1. Must-have initiatives

As the name suggests, this category consists of initiatives that are “musts” for your team. They represent non-negotiable needs for the project, product, or release in question. For example, if you’re releasing a healthcare application, a must-have initiative may be security functionalities that help maintain compliance.

The “must-have” category requires the team to complete a mandatory task. If you’re unsure about whether something belongs in this category, ask yourself the following.

If the product won’t work without an initiative, or the release becomes useless without it, the initiative is most likely a “must-have.”

2. Should-have initiatives

Should-have initiatives are just a step below must-haves. They are essential to the product, project, or release, but they are not vital. If left out, the product or project still functions. However, the initiatives may add significant value.

“Should-have” initiatives are different from “must-have” initiatives in that they can get scheduled for a future release without impacting the current one. For example, performance improvements, minor bug fixes, or new functionality may be “should-have” initiatives. Without them, the product still works.

3. Could-have initiatives

Another way of describing “could-have” initiatives is nice-to-haves. “Could-have” initiatives are not necessary to the core function of the product. However, compared with “should-have” initiatives, they have a much smaller impact on the outcome if left out.

So, initiatives placed in the “could-have” category are often the first to be deprioritized if a project in the “should-have” or “must-have” category ends up larger than expected.

4. Will not have (this time)

One benefit of the MoSCoW method is that it places several initiatives in the “will-not-have” category. The category can manage expectations about what the team will not include in a specific release (or another timeframe you’re prioritizing).

Placing initiatives in the “will-not-have” category is one way to help prevent scope creep . If initiatives are in this category, the team knows they are not a priority for this specific time frame. 

Some initiatives in the “will-not-have” group will be prioritized in the future, while others are not likely to happen. Some teams decide to differentiate between those by creating a subcategory within this group.

How Can Development Teams Use MoSCoW?

  Although Dai Clegg developed the approach to help prioritize tasks around his team’s limited time, the MoSCoW method also works when a development team faces limitations other than time. For example: 

Prioritize based on budgetary constraints.

What if a development team’s limiting factor is not a deadline but a tight budget imposed by the company? Working with the product managers, the team can use MoSCoW first to decide on the initiatives that represent must-haves and the should-haves. Then, using the development department’s budget as the guide, the team can figure out which items they can complete. 

Prioritize based on the team’s skillsets.

A cross-functional product team might also find itself constrained by the experience and expertise of its developers. If the product roadmap calls for functionality the team does not have the skills to build, this limiting factor will play into scoring those items in their MoSCoW analysis.

Prioritize based on competing needs at the company.

Cross-functional teams can also find themselves constrained by other company priorities. The team wants to make progress on a new product release, but the executive staff has created tight deadlines for further releases in the same timeframe. In this case, the team can use MoSCoW to determine which aspects of their desired release represent must-haves and temporarily backlog everything else.

What Are the Drawbacks of MoSCoW Prioritization?

  Although many product and development teams have prioritized MoSCoW, the approach has potential pitfalls. Here are a few examples.

1. An inconsistent scoring process can lead to tasks placed in the wrong categories.

  One common criticism against MoSCoW is that it does not include an objective methodology for ranking initiatives against each other. Your team will need to bring this methodology to your analysis. The MoSCoW approach works only to ensure that your team applies a consistent scoring system for all initiatives.

Pro tip: One proven method is weighted scoring, where your team measures each initiative on your backlog against a standard set of cost and benefit criteria. You can use the weighted scoring approach in ProductPlan’s roadmap app .

2. Not including all relevant stakeholders can lead to items placed in the wrong categories.

To know which of your team’s initiatives represent must-haves for your product and which are merely should-haves, you will need as much context as possible.

For example, you might need someone from your sales team to let you know how important (or unimportant) prospective buyers view a proposed new feature.

One pitfall of the MoSCoW method is that you could make poor decisions about where to slot each initiative unless your team receives input from all relevant stakeholders. 

3. Team bias for (or against) initiatives can undermine MoSCoW’s effectiveness.

Because MoSCoW does not include an objective scoring method, your team members can fall victim to their own opinions about certain initiatives. 

One risk of using MoSCoW prioritization is that a team can mistakenly think MoSCoW itself represents an objective way of measuring the items on their list. They discuss an initiative, agree that it is a “should have,” and move on to the next.

But your team will also need an objective and consistent framework for ranking all initiatives. That is the only way to minimize your team’s biases in favor of items or against them.

When Do You Use the MoSCoW Method for Prioritization?

MoSCoW prioritization is effective for teams that want to include representatives from the whole organization in their process. You can capture a broader perspective by involving participants from various functional departments.

Another reason you may want to use MoSCoW prioritization is it allows your team to determine how much effort goes into each category. Therefore, you can ensure you’re delivering a good variety of initiatives in each release.

What Are Best Practices for Using MoSCoW Prioritization?

If you’re considering giving MoSCoW prioritization a try, here are a few steps to keep in mind. Incorporating these into your process will help your team gain more value from the MoSCoW method.

1. Choose an objective ranking or scoring system.

Remember, MoSCoW helps your team group items into the appropriate buckets—from must-have items down to your longer-term wish list. But MoSCoW itself doesn’t help you determine which item belongs in which category.

You will need a separate ranking methodology. You can choose from many, such as:

  • Weighted scoring
  • Value vs. complexity
  • Buy-a-feature
  • Opportunity scoring

2. Seek input from all key stakeholders.

To make sure you’re placing each initiative into the right bucket—must-have, should-have, could-have, or won’t-have—your team needs context. 

At the beginning of your MoSCoW method, your team should consider which stakeholders can provide valuable context and insights. Sales? Customer success? The executive staff? Product managers in another area of your business? Include them in your initiative scoring process if you think they can help you see opportunities or threats your team might miss. 

3. Share your MoSCoW process across your organization.

MoSCoW gives your team a tangible way to show your organization prioritizing initiatives for your products or projects. 

The method can help you build company-wide consensus for your work, or at least help you show stakeholders why you made the decisions you did.

Communicating your team’s prioritization strategy also helps you set expectations across the business. When they see your methodology for choosing one initiative over another, stakeholders in other departments will understand that your team has thought through and weighed all decisions you’ve made. 

If any stakeholders have an issue with one of your decisions, they will understand that they can’t simply complain—they’ll need to present you with evidence to alter your course of action.

Labor Department Asks High Court to Skip ESOP Lawyer Fee Suit

The Labor Department advised the US Supreme Court to skip a case seeking to force the department to pay attorneys’ fees after losing a trial over an employee stock ownership plan transaction.

A lower court’s decision declining to assess attorneys’ fees against the department is a “factbound determination” that doesn’t warrant attention from the Supreme Court, the department said in a Monday opposition brief . That correct decision doesn’t conflict with any appeals court rulings, and the Supreme Court has repeatedly denied petitions by parties seeking attorneys’ fees from the government under the Equal Access to Justice Act, the department said.

In particular, the department disputed the idea that the US Court of Appeals for the Ninth Circuit adopted a “laxer standard” for the government to defeat a fee request under the EAJA, which is a federal law aimed at curbing abusive lawsuits involving the government. The Ninth Circuit reviewed the entire record and determined the department had substantial evidence to support its litigation position, even if that position was ultimately unsuccessful, the department said.

The department’s underlying lawsuit accused Brian Bowers and Dexter Kubota of selling all their stock in their architectural firm to the company’s ESOP for significantly more than the shares were worth.

A federal judge ruled against the department after a one-week trial, saying it failed to show that the $40 million paid by the Bowers & Kubota Consulting Inc. ESOP in 2012 was an unfair price for the company’s stock. The judge awarded the defendants about $40,000 in costs but denied their request for attorneys’ fees.

The defendants appealed, arguing they should have been awarded fees under the EAJA because the department’s litigation position wasn’t justified.

The Ninth Circuit disagreed . Although the lawsuit was “shoddy” and expensive to defend, it wasn’t so flawed that the department wasn’t substantially justified in its litigation position when it went to trial, the appeals court said.

Bowers & Kubota in June asked the Supreme Court to intervene, saying the federal circuit courts are divided on what “substantially justified” means under the EAJA, and the justices should settle the confusion. Both the ESOP Association and the American Society of Appraisers filed amicus briefs supporting the petition.

But the dispute doesn’t merit Supreme Court attention, the department said.

“If this Court did grant review here to apply the substantial justification standard to the facts and circumstances of this case, then the Court’s only task would be to determine whether the district court abused its discretion in finding substantial justification,” the department said. “Such a case-specific and fact-specific contention does not warrant this Court’s review.”

Intel is spinning off its chipmaking business as part of its plans to reverse billions in losses and a tumbling stock price. In an announcement on Monday , Intel CEO Pat Gelsinger said the Intel Foundry will become an independent subsidiary with “clearer separation and independence” from Intel.

With the change, the Intel Foundry will have its own operating board and report its financial earnings separately from Intel. Intel will also stop work on the factories it’s building in Poland and Germany for two years “based on anticipated market demand.” The company is still moving forward with its plants in Arizona, Oregon, New Mexico, and Ohio, however.

Additionally, Intel plans on selling part of its stake in Altera, the programmable chip company it acquired in 2015. It will also cut around two-thirds of its global real estate footprint. As part of this announcement, Intel revealed that the Biden administration awarded the company up to $3 billion in funding to make chips for the US military.

These changes will likely be crucial in getting Intel back on track as a leading chipmaker. On top of widespread issues affecting 13th and 14th Gen CPUs, the company reported $1.6 billion in the first quarter of 2024, with its chipmaking business alone racking up $7 billion in operating losses in 2023. In August, Intel announced layoffs affecting 15,000 workers , and now it says it is “more than halfway” to this goal.

“As I’ve said before, this is the most significant transformation of Intel in over four decades. Not since the memory to microprocessor transition have we attempted something so essential,” Gelsinger says. “We succeeded then — and we will meet this moment and build a stronger Intel for decades to come.”

Even though Intel is betting that its new 18A chipmaking process will help stem some of its losses, a recent report from Reuters suggests that early tests have failed when creating Broadcom’s silicon wafers. TikTok is fighting for its life in US court — and it's on track to lose, former DOJ official says

Attorneys for the US government and the widely popular social media app faced off on Monday in a federal appeals court as TikTok fights against a law that could soon see the platform banned in the country.

It didn't appear to go well for the app.

Based on how oral arguments in the case went before a three-judge panel of the US Court of Appeals for the District of Columbia Circuit, the court is likely to rule against TikTok, a legal expert predicted.

"It was just very clear from the very beginning that the court is just deeply uninterested in stretching the law to help TikTok here," Alan Rozenshtein, a former Justice Department official and current associate professor at the University of Minnesota Law School, told Business Insider.

Rozenshtein said that he believes the appeals court will rule "decisively" and "comprehensively" against TikTok.

"This is pretty in the bag for the government," said Rozenshtein, who like other experts, believes the case will ultimately reach the US Supreme Court.

TikTok and a group of content creators filed separate lawsuits in May against the US government, arguing that the law, which President Joe Biden signed in April, violates users' First Amendment rights.

The law gave TikTok's Beijing-based parent company, ByteDance , nine months to sell its US operations of the video-sharing platform to a non-Chinese company or be booted from app stores.

Biden signed the law — framed as addressing TikTok's potential threat to national security — as part of a foreign aid package and multi-year bipartisan push to break TikTok away from ByteDance.

The main concern among government officials is that TikTok could be compelled to hand over data on US users to the Chinese Communist Party. Others worried that TikTok — which said it reaches 170 million Americans each month — could become a propaganda tool for the Chinese government.

US officials haven't presented evidence to the public that either concern is happening, though Congress may have seen classified information in briefings that swayed them to vote for the legislation.

TikTok's lawyer argued the law 'imposes extraordinary speech prohibition'

In his oral arguments on Monday, TikTok lawyer Andrew Pincus slammed the law as "unprecedented."

"Its effect would be staggering," Pincus said. "For the first time in history, Congress has expressly targeted a specific US speaker, banning its speech and the speech of 170 million Americans."

Pincus argued that the law is unconstitutional and said it "imposes extraordinary speech prohibition based on indeterminate future risks."

"No compelling reason justifies Congress acting like an enforcement agency and specifically targeting petitioners," he said.

The panel of judges, at times, seemed skeptical of TikTok's arguments. They pressed Pincus about TikTok's China ties and asked whether Congress could bar a foreign country's ownership of a major media source in the US if the US were "at war" with the country.

Pincus argued that there would still be a First Amendment issue.

Rozenshtein told Business Insider, "The problem for TikTok is, every time the word China is said, that makes it worse for TikTok, and the word China was said a lot of times by the judges."

Justice Department lawyer Daniel Tenny, in his oral arguments, said that the data that TikTok collects from its users is the same data that is "extremely valuable to a foreign adversary trying to compromise the security of the United States."

TikTok has repeatedly denied allegations that it has ties to the Chinese Communist Party.

Sarah Kreps, a political scientist and director of the Tech Policy Institute at New York's Cornell University, told Business Insider that the judges sounded more "skeptical" of TikTok's arguments, "but also raised important questions about the First Amendment, foreign influence, and standards of scrutiny that I do not think were clearly resolved with today's exchanges."

"After listening to the oral arguments, I am more convinced that this case will end up in the Supreme Court," Kreps said. "The fundamental challenge that emerged is that it is difficult to pinpoint precedent because of how this particular type of technology and ownership arrangement intersects with free speech versus national security."

Jameel Jaffer, the executive director of the Knight First Amendment Institute at Columbia University — which has filed a legal brief in support of TikTok — also told Business Insider that he doubts the federal appeals court will be the last stop for the case.

"Today's argument confirmed what we already knew — that a ruling upholding the TikTok ban would do profound damage to our democracy, and to the First Amendment, by giving the government sweeping power to restrict Americans' right to access information, ideas, and media from abroad," Jaffer said.

Jaffer added that there are "very good reasons to be concerned about foreign disinformation campaigns and the data-collection practices of social media platforms, but the appeals court should make clear that Congress must address these concerns by passing transparency and privacy laws rather than by restricting Americans' First Amendment rights."

Support for a TikTok ban among Americans has faded over the past year and a half . While one in two US adults supported a TikTok ban in March 2023, now just 32% say they favor it, according to surveys conducted by the Pew Research Center.

After the appeals court issues its ruling, the case could end up before the Supreme Court where Rozenshtein also predicts TikTok will not fare well.

"I don't think TikTok is going to get any joy," he said. "For TikTok and the users to win, they have to convince judges to ignore the considered judgments of Congress and the executive branch in the intelligence community about a platform whose risks are very real."

"That is just a big ask," Rozenshtein said.

TikTok declined to comment for this story.
